# Terms of Use

**AAABLE, Inc. Terms of Use**

These Terms of Use ("Terms") govern your access to and use of the website located at aaable.io (the "Site"), operated by AAABLE, Inc., a Delaware corporation ("AAABLE," "we," "us," or "our"). By accessing or using the Site, you agree that you have read, understood, and accept all of the terms and conditions contained in these Terms, as well as our Privacy Policy and Cookie Policy. You acknowledge and agree that you will be bound by these Terms and policies.

Section 12 of these Terms governs how these Terms may be changed over time; the date of the last update is set forth at the top of these Terms.

**About**

The Site is for informational purposes only. It does not offer, solicit, or facilitate the purchase or sale of any financial product, security, or investment. Nothing on the Site constitutes an offer to sell, or a solicitation of an offer to buy, any token, security, or financial instrument in any jurisdiction where such offer or solicitation would be unlawful. Your access to and use of the Site is subject to these Terms.

aaaUSD is a digital asset issued via Anchorage Digital Bank, N.A. under applicable federal banking regulation, using M0's permissionless issuance infrastructure. Nothing on this Site constitutes custody services, issuance services, or a solicitation to acquire aaaUSD. Any acquisition, holding, or use of aaaUSD is subject to separate terms, disclosures, and eligibility requirements provided directly by the relevant regulated issuer, custodian, or distribution partner - not by AAABLE through this Site.

**Eligibility**

To access or use the Site, you must be at least 18 years old (or the age of majority in your jurisdiction) and not barred from using the Site under applicable laws. You represent that you are not located in, organized in, or a resident of any jurisdiction where access to the Site or use of aaaUSD is prohibited, including any jurisdiction subject to comprehensive sanctions administered by the U.S. Office of Foreign Assets Control (OFAC), the United Nations, the European Union, or the United Kingdom. You further represent that you are not a person named on any sanctions or restricted party list maintained by such authorities. If you do not meet these requirements, you must not access or use the Site.

**User Conduct**

You agree to use the Site only for lawful purposes and in accordance with these Terms. Prohibited activities include, but are not limited to: (i) violating any applicable law, regulation, or sanctions program; (ii) interfering with the Site's operation, including through hacking, introducing malicious code, or excessive automated scraping; (iii) impersonating any person or entity or providing false or misleading information; (iv) using the Site to facilitate money laundering, terrorist financing, or any other illicit activity; or (v) using the Site for commercial purposes without our prior written consent. We reserve the right to suspend or terminate your access for any violation of these Terms.

**Limited License; IP Rights**

We grant you a limited, non-exclusive, non-sublicensable, revocable, and non-transferable license to access and use the Site for personal, informational purposes only. Any other use is prohibited without our prior written consent. You agree not to modify, copy, scrape, reverse-engineer, or create derivative works based on the Site or its content. Violation of this section may result in immediate termination of your access.

"AAABLE," "aaaUSD," and all associated logos, trademarks, and trade dress are the property of AAABLE, Inc. or its licensors. Nothing in these Terms grants you any right, title, or interest in such marks.

**No Investment, Financial, Legal, or Tax Advice**

Nothing on the Site constitutes investment, financial, legal, tax, or regulatory advice. Digital assets, including stablecoins, involve risk, including the risk of total loss. You are solely responsible for evaluating the merits and risks of any transaction involving aaaUSD or any other digital asset, and for consulting your own independent advisors before doing so. Past performance, yield, or reward distributions are not indicative of future results.

**Privacy**

We are committed to protecting your personal information and to being transparent about how it is collected, used, and safeguarded. Please review our Privacy Policy, which describes our data practices in detail and forms part of these Terms.

**Disclaimers**

Your access to and use of the Site is at your own risk. The Site is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express or implied, including but not limited to warranties of title, merchantability, fitness for a particular purpose, or non-infringement. AAABLE and its affiliates, officers, directors, employees, and agents (the "AAABLE Entities") disclaim all responsibility for the accuracy, completeness, availability, security, or reliability of the Site; for any harm arising from its use; for compatibility with your device or software; or for uninterrupted or error-free access. Information on the Site may not be current and should be independently verified, including with the relevant regulated issuer or custodian of aaaUSD. Links to third-party sites or content are provided for convenience only; we do not endorse and are not responsible for third-party content. All information on the Site is provided for general informational purposes only and does not constitute advice of any kind.

**Limitation of Liability**

To the fullest extent permitted by applicable law, the AAABLE Entities shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to loss of profits, revenue, goodwill, use, data, or other intangible losses, arising from or relating to your access to or use of, or inability to access or use, the Site, regardless of the theory of liability (contract, tort, statute, or otherwise), even if advised of the possibility of such damages. If any limitation set forth in this section is found unenforceable, the total aggregate liability of the AAABLE Entities shall not exceed $100 USD.

Some jurisdictions do not permit the exclusion of certain warranties or the limitation or exclusion of liability for incidental or consequential damages. Accordingly, some of the limitations in this section may not apply to you. If you are dissatisfied with the Site for any reason, your sole and exclusive remedy is to discontinue use of the Site.

**Indemnification; Release**

You agree to indemnify, defend, and hold harmless the AAABLE Entities from and against any claims, demands, losses, liabilities, damages, or expenses (including reasonable attorneys' fees) arising out of or relating to your breach of these Terms, your violation of any law or regulation, or your misuse of the Site.

If you have a dispute with one or more other users or any third party arising from or relating to the Site, you release the AAABLE Entities from any and all claims, demands, and damages (actual and consequential, known and unknown) of every kind and nature arising out of or in any way connected with such dispute.

**Force Majeure**

We shall not be liable for any failure or delay in performing our obligations under these Terms resulting from events beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, civil unrest, governmental action or sanctions, network or infrastructure failure, or widespread disruption to blockchain networks or third-party service providers on which the Site or aaaUSD infrastructure depends.

**Governing Law**

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of laws principles. Subject to the arbitration provisions below, the state and federal courts located in Delaware shall have exclusive jurisdiction over any dispute not subject to arbitration.

**Arbitration and Class Action Waiver**

PLEASE READ THIS SECTION CAREFULLY IT MAY AFFECT YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

You and AAABLE agree that any dispute, controversy, or claim ("Claim") arising out of or relating to these Terms or your use of the Site will be resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules, before a single arbitrator. The arbitration shall be conducted in English, in Delaware, on an individual basis only — class arbitrations and class actions are not permitted. You and AAABLE each waive any right to a trial by jury or to participate in a class, consolidated, or representative action.

Exceptions: either party may bring a Claim in small claims court within applicable jurisdictional limits, seek injunctive or other equitable relief in court to prevent actual or threatened infringement, misappropriation, or violation of intellectual property rights, or bring a Claim relating to intellectual property disputes in court.

To the fullest extent permitted by law, any arbitration proceeding will be conducted on an individual basis only and not as part of any class, consolidated, or representative proceeding. If this class action waiver is found unenforceable as to a particular Claim or proceeding, the arbitration agreement shall be void solely as to that Claim or proceeding.

**Regulatory Notices**

aaaUSD is not offered, sold, or made available to persons in any jurisdiction where doing so would violate applicable law. Nothing in these Terms or on the Site should be construed as an offer of securities under the Securities Act of 1933, as amended, or any other applicable securities law. AAABLE does not provide custody, issuance, or redemption services directly; these functions are performed by Anchorage Digital Bank, N.A. and other regulated third parties under their own applicable terms and regulatory authorizations.

**Miscellaneous**

We may amend these Terms at any time by posting a revised version with an updated effective date. Changes are effective upon posting or upon your next use of the Site, whichever comes first. If you do not agree with any revised Terms, you must stop using the Site. We reserve the right to modify, suspend, or discontinue the Site, in whole or in part, at any time without notice or liability. If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. AAABLE may assign these Terms, in whole or in part, at any time without notice; you may not assign these Terms without our prior written consent. No waiver of any breach of these Terms shall constitute a waiver of any prior or subsequent breach. These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and AAABLE regarding the Site.
